Welcome to Luna Note. By accessing or using our software and services, you agree to be bound by these Terms of Service ("Terms").
1. DEFINITIONS
- "Service" refers to Luna Note, our astrology software application, and all related services
- "User," "You," "Your" refers to the individual or entity using our Service
- "We," "Us," "Our," "Company" refers to Telic Corporation Limited
- "Subscription" refers to paid recurring access to our Service
- "One-time Payment" refers to paid non-recurring access to specific features
- "Account" refers to your registered Luna Note user account

3. ACCEPTANCE OF TERMS
By creating an account, making a payment, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our Service.
These Terms constitute a legally binding agreement between you and Telic Corporation Limited.
4. ELIGIBILITY
To use Luna Note, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into a binding contract
- Provide accurate, current, and complete registration information
- Maintain the accuracy of your account information
- Be responsible for maintaining the confidentiality of your account credentials
- Notify us immediately of any unauthorized access to your account
You may NOT:
- Share your account credentials with others
- Allow others to use your account
- Create multiple accounts for the same individual
- Misrepresent your age or identity
5. LICENSE GRANT
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use Luna Note.
You Are Granted:
- The right to access and use the Service for your personal, non-commercial purposes
- The right to generate astrological charts and reports for yourself
- The right to store your personal data and notes within the Service
You Are Strictly PROHIBITED From:
- Reselling, redistributing, or sublicensing the Service or any astrological reports generated through it
- Reverse engineering, decompiling, or disassembling the Software
- Removing, modifying, or obscuring any proprietary notices, labels, or marks
- Using the Service for any illegal or unauthorized purpose
- Sharing your login credentials with any third party
- Attempting to interfere with, disrupt, or harm the Service or its infrastructure
- Using the Service to transmit malware, viruses, spam, or harmful content
- Scraping, data mining, or extracting data from the Service through automated means
- Using the Service to provide professional services to third parties
- Creating derivative works based on the Service
- Accessing the Service through any automated means (bots, scrapers, etc.) except as explicitly permitted by us
IMMEDIATE TERMINATION: Violation of reselling, scraping, or credential-sharing prohibitions will result in immediate account suspension and termination without notice or refund.
6. PAYMENT TERMS
6.1 Pricing
- All prices are displayed in multiple currencies (USD, GBP, EUR, INR, and 26+ other currencies)
- Prices are set at checkout based on your billing location
- We reserve the right to change prices at any time
- Price changes for existing subscriptions take effect at the next renewal
- All applicable taxes are calculated based on your billing address and local tax thresholds
6.2 Payment Options
We offer two payment models:
A. One-Time Payment:
- Pay once for limited access to specific features (as described at purchase)
- Payment is due immediately upon purchase
- Non-recurring
B. Subscription (Recurring):
- Monthly Subscription: Billed monthly on the date you subscribe
- Annual Subscription: Billed annually on the date you subscribe
- Auto-renewal occurs unless cancelled before the renewal date
6.3 Payment Processing
- We use third-party payment processors: Stripe, Razorpay, and PhonePe
- You authorize us to charge your payment method for all applicable fees
- Payment methods accepted: Credit cards, debit cards, UPI, net banking, digital wallets
- Payment information is processed securely by our payment partners
- We do not store your complete payment card details
6.4 Taxes
- You are responsible for all applicable taxes (VAT, GST, sales tax, etc.)
- Taxes are calculated based on your billing address and applicable tax thresholds in your country
- Tax amounts will be clearly displayed at checkout before payment
- We comply with tax regulations in all jurisdictions where we operate
6.5 Failed Payments
- If a payment fails, you will receive an email reminder
- Your access to the Service will be immediately suspended until payment is successfully processed
- We will attempt to process failed payments according to your payment processor's retry schedule
- You are responsible for updating your payment information to resolve failed payments
- No grace period is provided - access is suspended immediately upon payment failure
- For subscriptions: Your subscription will not be renewed if payment fails, and you will lose access to premium features
6.6 Invoices and Receipts
- You will receive an email receipt for all successful payments
- Invoices include our company details, your billing information, and applicable tax breakdowns
- You can access your payment history through your account settings
7. REFUND POLICY
7.1 Annual Subscription Refunds
- 3-Day Refund Window: You may request a refund within 3 days of purchasing an annual subscription
- Partial Refund Only: Refunds are calculated on a pro-rata basis for the remaining 11 months of your subscription
- The first month is non-refundable
- Example: If you paid $120 for 12 months, you can receive a refund of up to $110 (for 11 months)
7.2 Non-Refundable Items
- Monthly subscriptions: No refunds under any circumstances
- One-time payments: No refunds under any circumstances
- Partial billing periods: No refunds for unused time within a billing period
- Cancelled subscriptions: No refunds after cancellation - access continues until end of current billing period
7.3 How to Request a Refund
- Email support@getlunanote.com with:
- Your account email address
- Order/transaction ID
- Reason for refund request
- Date of purchase
- We will review your request within 5-7 business days
- Approved refunds are processed within 7-10 business days to your original payment method
7.4 Refund Restrictions
- Refunds are not available if:
- Your account has been terminated for violating these Terms
- You have been banned for abuse, reselling, or prohibited activities
- The 3-day window has expired (for annual subscriptions)
- You purchased a monthly subscription or one-time payment
- We reserve the right to deny refund requests that appear fraudulent or abusive
8. SUBSCRIPTION TERMS
8.1 Auto-Renewal
- All subscriptions automatically renew at the end of each billing period
- You will be charged at the then-current subscription rate
- We will send a renewal reminder email before charging your payment method
- You can view your next billing date in your account settings
8.2 Cancellation
- You may cancel your subscription at any time through your account settings
- Cancellation takes effect at the end of your current billing period
- You will continue to have access to paid features until the end of the billing period
- No refunds are provided for the current billing period upon cancellation
- To cancel, log in to your account → Settings → Subscription → Cancel
8.3 Plan Changes
Upgrading:
- You may upgrade from monthly to annual or to a higher-tier plan at any time
- Upgrades are prorated - you receive credit for unused time on your current plan
- The difference is charged immediately
- Your new billing cycle begins immediately
Downgrading:
- You may downgrade to a lower-tier plan at any time
- Downgrades take effect at the start of your next billing cycle
- No refunds for the difference between plans
- You retain access to current plan features until the next billing date
8.4 Subscription Interruptions
- If payment fails, your subscription benefits are immediately suspended
- Your subscription will not renew until payment is successfully processed
- Data is retained during suspension (subject to our data retention policy)
- To restore access, update your payment method and complete payment
9. ACCOUNT TERMINATION
9.1 Termination by You
- You may terminate your account at any time through account settings
- Upon termination, your access to the Service ends immediately (unless you have a paid subscription that extends to end of billing period)
- No refunds are provided upon voluntary account termination (except as stated in Section 7)
9.2 Termination by Us
We may suspend or terminate your account immediately and without prior notice if:
- You violate these Terms
- You engage in prohibited activities, including:
- Reselling astrological reports or Service access
- Scraping or data mining our Service
- Sharing your account credentials
- Abusing or harming the Service
- Engaging in fraudulent activity
- Violating intellectual property rights
- We detect unusual or suspicious activity
- Required by law or regulation
For Severe Violations:
- Immediate termination without warning
- No refunds of any kind
- Permanent ban from creating new accounts
- We reserve the right to pursue legal action
For Less Severe Violations:
- We may, at our discretion, issue a warning before termination
- This is not guaranteed and does not limit our right to immediate termination
9.3 Effects of Termination
- Your license to use the Service ends immediately
- You lose access to all Service features and your data
- We may delete your account data in accordance with our data retention policy (at least 2 years for legal compliance)
- Outstanding payment obligations remain due
- Sections of these Terms regarding payment, intellectual property, liability, and dispute resolution survive termination
10. USER CONTENT & DATA
10.1 Your Data
- You retain ownership of all data, information, and content you upload to Luna Note
- This includes your birth information, notes, entries, and any content you create
- You grant us a limited license to host, store, process, and display your data solely to provide the Service
- We will not share, sell, or disclose your data except as described in our Privacy Policy
10.2 Your Responsibilities
You are solely responsible for:
- The accuracy of information you provide (birth date, time, location)
- Maintaining backups of important data
- Any content you create or upload
- Ensuring you have the right to upload any content
10.3 Our Rights
- We may use anonymized, aggregated data for analytics, research, and Service improvements
- We may display your name or company name as a customer reference (you may opt out by emailing support@getlunanote.com)
- We do not claim ownership of your personal data or astrological chart information
10.4 Data Backup
- You are responsible for maintaining your own backups of any important data
- While we implement data backup procedures, we are not liable for any data loss
- We recommend regularly exporting your data from Luna Note
11. INTELLECTUAL PROPERTY
11.1 Our Intellectual Property
All rights, title, and interest in Luna Note, including:
- The software, code, algorithms, and technology
- The user interface, design, and graphics
- Astrological calculation methods and AI models
- All content, text, images, and documentation
- Trademarks: "Luna Note," "Telic," and associated logos
- All updates, improvements, and derivative works
...are owned exclusively by Telic Corporation Limited or our licensors.
11.2 Limited License
These Terms grant you only a limited license to use the Service as described in Section 5. No other rights are granted. You do not acquire any ownership rights to the Service.
11.3 Trademarks
- "Luna Note" and "Telic" are trademarks of Telic Corporation Limited
- You may not use our trademarks without prior written permission
- You may not imply endorsement or affiliation without authorization
11.4 Feedback
If you provide feedback, suggestions, or ideas about Luna Note:
- We may use your feedback without compensation or attribution
- You grant us a perpetual, worldwide, royalty-free license to use, implement, and incorporate your feedback
- This helps us improve the Service for all users
12. NATURE OF THE SERVICE - ASTROLOGICAL INFORMATION
12.1 Not Professional Advice
IMPORTANT: Luna Note provides astrological calculations, charts, and insights for informational and entertainment purposes only.
Luna Note is NOT:
- Medical advice or a substitute for professional medical consultation
- Legal advice or a substitute for legal counsel
- Financial advice or investment guidance
- Professional counseling or therapy
- A definitive predictor of future events
- A replacement for professional services of any kind
12.2 Recommendations Only
- All astrological insights, predictions, and recommendations provided by Luna Note are suggestions only
- You have complete discretion to accept, reject, or ignore any information provided
- You are solely responsible for decisions you make based on astrological information
- We make no guarantees about the accuracy, reliability, or outcomes of astrological interpretations
12.3 User Responsibility
By using Luna Note, you acknowledge and agree that:
- Astrological information is subjective and interpretive
- You will not rely solely on Luna Note for important life decisions
- You will seek appropriate professional advice (medical, legal, financial) when needed
- You use Luna Note at your own risk and discretion
- We are not liable for any decisions you make based on astrological information
12.4 AI-Generated Content
- Luna Note uses artificial intelligence to generate astrological insights
- AI-generated content may contain errors, inaccuracies, or unexpected results
- We do not warrant the accuracy or completeness of AI-generated content
- You should verify important information from multiple sources
13. SERVICE AVAILABILITY & MODIFICATIONS
13.1 Availability
- We strive to provide reliable and consistent access to Luna Note
- We do not guarantee any specific uptime percentage
- The Service may be temporarily unavailable due to:
- Scheduled or emergency maintenance
- Technical issues or server problems
- Third-party service provider outages
- Circumstances beyond our control
13.2 Modifications to Service
- We may modify, update, discontinue, or remove features at any time without notice
- We are not obligated to maintain any specific feature or functionality
- Updates may be automatic and mandatory
- We will make reasonable efforts to minimize disruption
13.3 No Warranty
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND.
We disclaim all warranties, express or implied, including:
- Warranties of merchantability
- Fitness for a particular purpose
- Non-infringement
- Uninterrupted or error-free operation
- Accuracy or reliability of results
- Security of data transmission
14. LIMITATION OF LIABILITY
14.1 Maximum Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Our total aggregate liability to you for all claims arising from your use of Luna Note shall not exceed the total amount you paid to us in the 12 months immediately preceding the claim.
- If you have not paid us anything, our liability is limited to £50 (GBP).
14.2 Excluded Damages
WE ARE NOT LIABLE FOR ANY:
- Indirect, incidental, consequential, special, or punitive damages
- Loss of profits, revenue, or business opportunities
- Loss of data or information
- Loss of goodwill or reputation
- Business interruption
- Personal injury or emotional distress
- Any damages arising from:
- Your use or inability to use the Service
- Decisions made based on astrological information
- Unauthorized access to your account
- Errors, bugs, or inaccuracies in the Service
- Third-party services or content
- Service interruptions or downtime
14.3 Third-Party Services
We are not responsible or liable for:
- Payment processor errors, delays, or failures (Stripe, Razorpay, PhonePe)
- Hosting provider outages or data loss
- Third-party integrations or APIs
- AI service provider errors or inaccuracies
- Internet service provider issues
14.4 Your Responsibility
We are not liable for issues caused by:
- Your misuse of the Service
- Your failure to maintain account security
- Inaccurate information you provide
- Your violation of these Terms
- Your negligence or willful misconduct
14.5 Jurisdictional Variations
Some jurisdictions do not allow limitation of liability for certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
15. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Telic Corporation Limited, its officers, directors, employees, agents, and affiliates from any and all:
- Claims, demands, or lawsuits
- Losses, damages, or liabilities
- Costs and expenses (including reasonable legal fees)
Arising from or related to:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of any law, regulation, or third-party rights
- Content you submit or upload to the Service
- Decisions you make based on astrological information
- Your negligence or willful misconduct
- Unauthorized use of your account due to your failure to secure it
We reserve the right to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense.
16. PROHIBITED USES
In addition to prohibitions stated elsewhere in these Terms, you may NOT use Luna Note to:
16.1 Illegal Activities
- Violate any local, national, or international laws or regulations
- Engage in fraudulent, deceptive, or misleading practices
- Facilitate illegal activities or transactions
16.2 Intellectual Property Violations
- Infringe on patents, trademarks, copyrights, or trade secrets
- Use the Service to distribute pirated or unauthorized content
- Copy, reproduce, or steal proprietary algorithms or methods
16.3 Harmful Activities
- Transmit viruses, malware, ransomware, or malicious code
- Hack, exploit vulnerabilities, or breach security measures
- Launch denial-of-service (DoS) attacks or overload our systems
- Interfere with other users' access to the Service
16.4 Abuse & Harassment
- Harass, threaten, intimidate, or harm others
- Discriminate based on race, religion, gender, or other protected characteristics
- Impersonate others or create fake accounts
16.5 Spam & Unsolicited Communications
- Send spam, junk mail, or unsolicited advertisements
- Use the Service for bulk messaging or marketing without consent
16.6 Competitive Activities
- Scrape, crawl, or data mine the Service using automated tools
- Reverse engineer, decompile, or attempt to extract source code
- Build a competing product or service based on Luna Note
- Resell or redistribute access to Luna Note or its features
16.7 Professional Misuse
- Provide professional astrological services to third parties using Luna Note without authorization
- Market yourself as a professional astrologer using our Service (unless separately licensed)
Violation of prohibited uses may result in immediate account termination, legal action, and pursuit of damages.
17. DISPUTE RESOLUTION
17.1 Governing Law
Primary Jurisdiction: These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.
Regional Exceptions:
- India-based users: Disputes governed by the laws of India
- Serbia-based users: Disputes governed by the laws of Serbia
- All other users: Governed by the laws of England and Wales
17.2 Arbitration (Mandatory First Step)
Before initiating any court proceedings, you agree to:
- Good Faith Negotiation (30 Days):
- Contact us at support@getlunanote.com to attempt informal resolution
- Both parties will negotiate in good faith for 30 days
- Binding Arbitration:
- If negotiation fails, disputes must be submitted to binding arbitration
- Location: London, United Kingdom (or regional equivalent for India/Serbia)
- Arbitration conducted under the rules of the applicable jurisdiction
- Each party bears its own legal costs unless otherwise determined by arbitrator
- Arbitrator's decision is final and binding
Exceptions to Arbitration:
- Small claims court matters (under applicable monetary threshold)
- Injunctive relief for intellectual property infringement
- Emergency protective measures
17.3 Court Jurisdiction
If arbitration is not applicable or is waived by mutual agreement:
- Primary Jurisdiction: Courts of London, England
- India: Courts of [applicable jurisdiction in India]
- Serbia: Courts of [applicable jurisdiction in Serbia]
You irrevocably submit to the jurisdiction of these courts.
17.4 Class Action Waiver
YOU AGREE TO RESOLVE DISPUTES INDIVIDUALLY, NOT AS PART OF A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.
- No class arbitrations or class actions are permitted
- You may not consolidate claims with other users
- You waive any right to participate as a class member in any class action lawsuit
If this waiver is found unenforceable, the arbitration provision is void, and disputes will proceed in court.
17.5 Time Limitation
You must bring any claim within 1 year of the date the claim arose, or the claim is permanently barred.
18. MODIFICATIONS TO THESE TERMS
18.1 Right to Modify
We reserve the right to modify, update, or replace these Terms at any time at our sole discretion.
18.2 Notification of Changes
- Material changes will be notified via email to your registered email address
- We will update the "Last Updated" date at the top of these Terms
- Changes may also be announced through in-app notifications
18.3 Your Acceptance
- Continued use of Luna Note after changes constitutes your acceptance of the modified Terms
- If you do not agree to the modified Terms, you must:
- Stop using the Service immediately
- Cancel your subscription (if applicable)
- Delete your account
18.4 Review Regularly
We encourage you to review these Terms periodically to stay informed of any changes.
19. GENERAL PROVISIONS
19.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Telic Corporation Limited regarding Luna Note, and supersede all prior agreements, understandings, or representations.
19.2 Severability
- If any provision of these Terms is found to be invalid, illegal, or unenforceable:
- The remaining provisions remain in full force and effect
- The invalid provision will be modified to the minimum extent necessary to make it enforceable
- If modification is not possible, the provision will be severed
19.3 Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Any waiver must be in writing and signed by us.
19.4 Assignment
- You may NOT assign or transfer these Terms or your account to any third party
- We may assign these Terms to:
- Our affiliates or subsidiaries
- A successor entity in connection with a merger, acquisition, or sale of assets
- Any prohibited assignment by you is void
19.5 No Agency
Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Telic Corporation Limited.
19.6 Force Majeure
We are not liable for delays or failures in performance due to circumstances beyond our reasonable control, including:
- Natural disasters, acts of God
- War, terrorism, civil unrest
- Government actions or restrictions
- Internet or telecommunications failures
- Pandemics or public health emergencies
19.7 Survival
The following sections survive termination of these Terms:
- Payment obligations
- Intellectual property rights
- Limitation of liability
- Indemnification
- Dispute resolution
- Any provisions that by their nature should survive
19.8 Headings
Section headings are for convenience only and do not affect interpretation of these Terms.
19.9 Language
These Terms are written in English. Translated versions (if any) are provided for convenience. In case of conflict, the English version prevails.

21. ACKNOWLEDGMENT
BY CREATING AN ACCOUNT OR USING LUNA NOTE, YOU ACKNOWLEDGE THAT:

- ✓ You understand and agree to be bound by these Terms
- ✓ You are at least 18 years of age
- ✓ You understand Luna Note provides astrological information for entertainment purposes only
- ✓ You will not use Luna Note for any prohibited purposes
- ✓ You agree to the dispute resolution and arbitration provisions
- ✓ You consent to electronic communications and agreements
